EQUEYPTU LIMITED — TERMS OF SERVICE (User Agreement)

1. Parties and Definitions
This User Agreement (the "Agreement") is a legally binding agreement between you ("User", "you") and EQUEYPTU LIMITED, a company duly organized and existing under the laws of the Hong Kong Special Administrative Region, with its registered address at 161 Queen's Road Central, Central and Western District, Hong Kong ("Company", "PayToUse", "we", "us").
Site means pay-to-use.com and p2u.io, together with their respective subdomains.
Developer means an independent third party that has published an Application through the Site.
Application means the third-party software, service, or widget offered for unlock via the Site.
Unlock Code means the digital code issued through the Site that activates the paid features of an Application.
Payment Gateway Service means the payment processing and Unlock Code delivery service that the Company provides, as described in Section 2.
2. Subject of the Agreement — Role of the Company
2.1. The Company operates the Site as a payment gateway connecting Users and Developers. The Company processes your payment (via Stripe, PayPal, or another supported payment method), generates the corresponding Unlock Code, and delivers it to you.
2.2. Each Application is created, operated, and supported solely by its Developer. The Company is not the author, publisher, or operator of any Application and does not control its content, features, accuracy, or availability.
2.3. By completing a purchase you enter into two separate relationships: (a) with the Company, for the payment and delivery of the Unlock Code, governed by this Agreement; and (b) with the Developer, for the use of the Application itself, which may be subject to the Developer's own terms, if any.
3. Acceptance of the Agreement
3.1. By checking "I agree to the User Agreement" and completing a purchase on the Site, you confirm that you have read, understood, and accepted this Agreement and the Privacy Policy in full.
3.2. If you do not agree with any part of this Agreement, you must not proceed with the purchase.
4. Price and Payment
4.1. Prices are displayed on the Site at the time of purchase in the currency indicated at checkout.
4.2. Payments are processed by third-party payment providers (Stripe, PayPal). The Company does not store your full payment card details.
4.3. The Unlock Code is generated and made available to you (on-screen and/or by email) once payment has been confirmed by the payment provider.
5. Refunds
5.1. Because an Unlock Code is digital content delivered immediately upon payment, once an Unlock Code has been activated on a device, the purchase is final and non-refundable.
5.2. As an exception to 5.1, you are entitled to a refund if the Unlock Code fails to activate, or the paid features it unlocks fail to function, due to a technical fault attributable to the Company's Payment Gateway Service. Refund requests under this exception must be sent to [email protected] with a description of the issue; the Company will investigate and respond within a reasonable time.
5.3. Section 5.2 does not cover issues caused by the Application itself (bugs, discontinued support, incompatibility, inaccurate data, etc.) — those are the Developer's responsibility; see Section 6.
6. Developer's Responsibility; Disclaimer
6.1. The Developer is solely responsible for the Application: its functionality, content, accuracy (including any weather, prayer-time, or health-related data it displays), updates, and support.
6.2. The Company provides the Payment Gateway Service "as is" and does not warrant that any Application will be error-free, uninterrupted, or fit for a particular purpose.
6.3. To the maximum extent permitted by law, the Company disclaims all liability for any loss or damage arising from your use of an Application, as distinct from the payment and Unlock Code delivery process itself.
7. Limitation of Liability
7.1. To the maximum extent permitted by law, the Company's total liability to you arising out of or relating to this Agreement shall not exceed the amount you paid for the relevant Unlock Code.
7.2. The Company shall not be liable for any indirect, incidental, or consequential damages.
8. Force Majeure
8.1. Neither party shall be liable for failure to perform its obligations under this Agreement if such failure results from circumstances beyond its reasonable control, including acts of government, natural disasters, war, or failures of third-party payment or communication networks.
9. Changes to the Agreement
9.1. The Company may amend this Agreement at any time by publishing the updated version on the Site. The updated Agreement applies to purchases made after its publication.
10. Governing Law and Disputes
10.1. This Agreement is governed by the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law provisions.
10.2. Any dispute arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region.
10.3. Before initiating legal proceedings, the parties shall attempt to resolve any dispute amicably by contacting [email protected].
11. Miscellaneous
11.1. If any provision of this Agreement is found unenforceable, the remaining provisions remain in full force.
11.2. This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and the Company regarding the Payment Gateway Service.
11.3. This Agreement is made in English. Any translations provided in other languages on the Site are for convenience only; in case of conflict, the English version prevails.
